The Companies (General Provisions and Forms) Regulations, 2018, were made by the Securities and Exchange Commission of Pakistan in exercise of the powers conferred under sub-section (1) of section 512 of the Companies Act, 2017. These are comprehensive regulations regulating the conduct and working of the companies and ensuring transparency to protect the interests of the shareholders and members of the companies.
Companies (General Provisions and Forms) Regulations, 2018 prescribe formats and procedures for the filing of forms and returns to the commission, payments and modes of payment, service of documents and circulation of reports and notices by the companies. The manner for alteration of memorandum and conversion of status of a company is provided along with procedure regarding transfer and issuance of shares. It is mandatory for the companies to maintain registers containing particulars of members, directors, officers, and contracts in which directors are interested. These regulations prescribe the qualifications of company secretary, elections of board and female representation in board, meetings of board, conduct of shareholders in meetings, and procedure for translation of documents to file with the commission.
The Companies (General Provisions and Forms) Rules, 1985; the Single Member Companies Rules, 2003; and SRO 546(I) /2017 issued under section 452 of the Companies Act, 2017 stands repealed under these regulations.
