The Companies (Court) Rules, 1997 were made by the Federal Government in consultation with the High Courts of Provinces/Capital in exercise of the powers conferred by section 438 of the Companies Ordinance, 1984 (XLVII of 1984) and of all powers enabling it in that behalf in pursuance of the advice of the Supreme Court of Pakistan. The rules deal with civil matters. Nothing in the rules shall be deemed to limit or otherwise affect the inherent powers of the Court to give such direction or pass such orders as may be necessary for the ends of justice or to prevent abuse of the process of the Court. All applications under the Companies Ordinance 1984 except interlocutory applications shall be made by petition in the manner as provided in the rules. The rules provide that a certain register shall be kept in every court relating to the proceedings under the Companies Ordinance and the rules, which shall contain such particulars as are required by the rules. Procedure for winding up of a company, subject to certain limitations, is also provided in the rules. A petition for winding up a company shall be made in Form No.24, 25 or 26. In case of winding up, remuneration shall be paid to the liquidator out of the assets of the company.
