Khalid Zafar Graduated in commerce from Hailey College of Commerce, University of the Punjab, Lahore, Pakistan and obtained his law degree from University of the Punjab, Lahore, Pakistan. He has a diversified experience of over 21 years as a litigator and corporate lawyer and has worked with leading law firms including Cornelius, Lane & Mufti; Mandviwalla & Zafar; Surridge & Beecheno; and Hassan & Hassan in the years 1999 through 2012.
He has extensive experience of opining and structuring financing transactions involving all modes of financing including due diligence of banks and financial institutions. Khalid has a number of TFC and syndicate financing transactions to his credit including but not limited to representing the financial institutions for Rs. 3.4 Billion project financing of a sugar mill. He has also represented the lead bank in syndicate financing of Rs. 1.2 Billion to a textile unit. He has acted as a counsel of an investment bank (the lead bank of two consortiums) for TFC financing valuing Rs. 1 Billion for setting up a transport project company. He has represented the consortium of financial institutions for financing of a power project in Pakistan worth Rs. 32 Billion.
His main stay is the drafting and negotiating contracts including the FIDIC type contracts. He has advised a wide array of domestic and international clientele in numerous multi jurisdictional contractual transactions. He has negotiated EPC contracts in Nigeria and UAE. He has rendered consultancy, drafted and negotiated miscellaneous agreements including Share Purchase Agreements, Share Holder Agreements, Side & Secrecy Agreement and other company/corporate related matters in different jurisdictions including Nigeria, South Africa, Cayman Islands, UAE and Pakistan.
His specialization consists of acquisition of properties, opining on property documents and revenue matters, title verification, conveyance and property litigation. Khalid has rendered legal services to a number of housing societies for acquisition of land and other regulatory matters in regard thereto. He has acquired and opined on land documents and undertaken title verification all over Pakistan. He has acted as a sponsor’s counsel for acquiring 1400 Acres of land in Sindh for setting up a sugar mill; a 2000 kanals and 2500 kanals projects of sugar mills respectively in Khyber Pakhtunkhawa. He has also acted as sponsor’s legal counsel for setting up a 400 kanals of recreational project in Punjab and advised on various major projects like cement factories, textile mills and power projects.
His other areas of expertise are the employment and service matters, mergers and acquisitions, environment laws, property laws, structuring complex business transactions, intellectual property laws, laws of inheritance, family laws and other general civil matters. He has been involved as a legal advisor to almost all the financial institutions (both local and foreign banks) in Pakistan. He has acted as legal consultant to various sugar mills, energy, cement, and telecom concerns in Pakistan. He has been involved in litigation pertaining banking and finance, Income Tax and Company matters in the Superior Courts. He is handling a big portfolio of corporate work and civil litigation. He also regularly advises Lahore Electric Supply Company (LESCO) on various matters and handles litigation on its behalf in the Superior Courts.
